The Town of Grand Bay-Westfield is seeking a Dog Control Officer on a contract basis.

Sealed submissions will be received until 11:30 a.m. on Friday, October 28, 2005 for Dog Control Services within the Town of Grand Bay-Westfield on a contract basis for the period January 1, 2006 - December 31, 2008.

Specifications and quotation forms are available from the Town Office, 609 River Valley Drive, Grand Bay-Westfield, N.B. All quotations shall be submitted on the form of tender supplied by the Town of Grand Bay-Westfield.

Quotations will be opened publicly in the Boardroom, 609 River Valley Drive, immediately following the quotation closing time.

ARTICLE A-1 THE SERVICES

The Contractor shall:

(a) provide the services required by the Contract Documents for Dog Control within the Town of Grand Bay-Westfield which have been signed by the parties, and which were prepared by Town of Grand Bay-Westfield acting and hereinafter called the "Owner" and

(b) do and fulfill everything indicated by this Contract, and

(c) commence the work on the 1st day of January, 2006 and continue Performance of the Services, up to and including the 31st day of December, 2008.

ARTICLE A-3 CONTRACT PRICE

in Canadian funds, which price shall be subject to adjustments as may be required in accordance with the provisions of the Contract Documents. Workers' Compensation costs shall be the responsibility of the Town of Grand Bay-Westfield and CHARGED BACK to the Contractor at the current rate of assessment unless the bidder is subject to Workers' Compensation regulations.
 

ARTICLE A-4 PAYMENT

(a) The duties and obligations imposed by the Contract Documents and the rights and remedies available thereunder shall be in addition to and not a limitation of any duties, obligations, rights and remedies otherwise imposed or available by law.

(b) No action or failure to act by the Owner or Contractor shall constitute a waiver of any right or duty afforded by them under the Contract, nor shall any such action or failure to act constitute an approval of or acquiescence in any breach thereunder, except as may be specifically agreed in writing.

ARTICLE A-6 RECEIPT OF AND ADDRESSES FOR NOTICES

Communications in writing between the parties shall be considered to have been received by the addressee on the date of delivery if delivered by hand to the individual or to a member of the firm or to an officer of the corporation for whom they are intended or if sent by post, to have been delivered within five (5) working days of the date of mailing, when addressed as follows:

ARTICLE A-7 LAW OF THE CONTRACT

The law of the Place of the Work shall govern the interpretation of the Contract.

ARTICLE A-8 LANGUAGE OF THE CONTRACT

When the Contract Documents are prepared in both the English and French languages, it is agreed that in the event of any apparent discrepancy between the English and French versions, the English language shall prevail.

This Agreement is drawn in English at the request of all parties hereto.

ARTICLE A-9 SUCCESSION

The General Conditions of the Stipulated Price Contract hereto annexed, and the other aforesaid Contract Documents, are to be read into and form part of this Contract and the whole shall constitute the Contract between the parties and subject to law and the provisions of the Contract Documents shall endure to the benefit of and be binding upon the parties hereto, their respective heirs, legal representatives, successors and assigns.

ARTICLE A-10 INSURANCE

The bidder shall indemnify and save harmless the Town of Grand Bay-Westfield and their employees from all actions, suits, claims and demands whatsoever which may arise directly or indirectly by reason of all services, required by the Contract, save and except for damage caused by the negligence of the Town or their employees.

The bidder shall maintain and pay for Comprehensive General Liability Insurance including premises and all operations. These insurance coverages shall be subject to limits of not less than Five Million Dollars inclusive per occurrence for third party Bodily Injury, and Property Damage.

The Policy shall include the Town of Grand Bay-Westfield as an additional insured in respect of all operations performed by or on behalf of the Contractor.

The Policy shall not be altered, cancelled or allowed to expire or lapse, without thirty (30) days prior written notice to the Town.

If the Town is not provided with a renewal of the policy at least thirty (30) days prior to its expiration date, then the Town may arrange a public liability policy insuring the Contractor in the amount of $5,000,000.00 at the expense of the bidder, or in alternative, terminate the contract.

NOTE: THERE WILL BE NO OPTION UNDER THIS CONTRACT TO ACCESS TOWN INSURANCE COVERAGE

ARTICLE A-11 RENEWAL

LENGTH OF CONTRACT:

Contract shall run for the period of two (2) years from date of award with an option to renew for one (1) year at the same rate, terms and conditions.

4. GENERAL CONDITIONS:

THE TOWN RESERVES THE RIGHT TO CANCEL THIS CONTRACT ANY TIME IN THE EVENT THAT THE CONTRACTOR FAILS TO PROVIDE THE SERVICE SPECIFIED IN THESE SPECIFICATIONS AND CONDITIONS.

THE TENDERER SHALL NOT ASSIGN OR SUBCONTRACT SERVICES WITHOUT THE PRIOR WRITTEN CONSENT OF THE TOWN.

THE CONTRACTOR SHALL REIMBURSE THE TOWN FOR ALL DAMAGE TO TOWN PROPERTY IN ANY MANNER ARISING OUT OF, INCIDENTAL TO, OR IN CONNECTION WITH THE PERFORMANCE OF THE CONTRACT, AND MAINTAIN THE PROPER INSURANCE TO COVER SUCH RISK. A COPY OF THE INSURANCE COVERAGE SHALL BE SUBMITTED TO THE TOWN.

5. BID BOND:

A CERTIFIED CHEQUE PAYABLE TO THE TOWN OF GRAND BAY-WESTFIELD IN THE AMOUNT OF $300.00 IS TO ACCOMPANY EACH QUOTATION. THIS DEPOSIT SHALL BE FORFEITED TO THE TOWN IN THE EVENT THAT THE SUCCESSFUL BIDDER FAILS TO ACCEPT THIS CONTRACT OR DOES NOT CARRY OUT THE WORK IN COMPLIANCE WITH THE SPECIFICATIONS AND CONDITIONS.

6.PAYMENT:

A LUMP SUM PAYMENT SHALL BE MADE ON THE 15TH DAY OF EACH MONTH FOR THE WORK CARRIED OUT IN THE PREVIOUS MONTH AND SHALL BE SUBJECT TO THE CONTRACTOR SUBMITTING A MONTHLY INVOICE ON THE FIRST DAY OF EACH MONTH FOR THE WORK CARRIED OUT IN THE PREVIOUS MONTH. IF YOU ARE NOT REGISTERED FOR PURPOSES OF HST THEN YOUR SUBMITTED QUOTE WILL INCLUDE ALL TAXES INCLUDING HST, IF APPLICABLE.

THE TOWN DOES NOT BIND ITSELF TO ACCEPTING THE LOWEST OR ANY QUOTATION RECEIVED BUT RESERVES THE RIGHT TO AWARD THE CONTRACT TO THE BEST ADVANTAGE OF THE TOWN OF GRAND BAY-WESTFIELD. THE TOWN RESERVES THE RIGHT TO ACCEPT NON-COMPLIANT TENDERS BY WAIVING IRREGULARITIES OF A MINOR OR TECHNICAL NATURE IN THE BID.
